Innovation Challenge Rules
OneWeb welcomes your responses and ideas for OneWeb’s 2021 Open Innovation Challenge. All information and materials submitted to OneWeb as part of this Innovation Challenge (“Proposal(s)”), including any ideas, concepts, know-how or techniques, designs, data, drawings, comments, technology, questions, or the like, will be considered NON-CONFIDENTIAL and NON-PROPRIETARY. For this reason, we ask that you not send us any information or materials that you do not wish to be made public, including, without limitation, any confidential information.
OneWeb owns and retains all rights in OneWeb’s technology, network and services, and any information, technology or details shared as part of this Innovation Challenge does not assign or give any rights or license to any entrant or 3rd parties in or to use OneWeb’s technology, network and services.
By submitting your responses and ideas for OneWeb’s 2021 Open Innovation Challenge, each entrant grants to OneWeb the non-exclusive, royalty-free, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display the throughout the world in any media. By submitting your responses, each entrant represents and warrants that (a) any Proposal is the original creation of the individual, business, sole proprietorship, non-profit entity, government entity, or educational entity entering this Challenge; (b) you are authorized to submit a Proposal on behalf of such individual or organisation; (c) the Proposal has not been copied or derived in whole or in part from any other works; (d) the Proposal does not violate or infringe any copyright, trademark, design right, privacy or publicity right, or other personal, proprietary or intellectual property right of any person or entity; (e) the Proposal is not defamatory, libellous, obscene, or otherwise illegal; (f) the Proposal is the sole and exclusive property of the entrant or the business, individual or organisation entering the Challenge; (g) the entrant has complete, worldwide distribution rights for the Proposal; and (h) the entrant has received the written consent of any other person with rights or any interest in the Proposal; and (i) the entrant is responsible for obtaining all applicable export control approvals as required by their jurisdiction and will notify OneWeb as applicable; and submissions must not contain content, material or any element that is unlawful, or otherwise in violation of or contrary to all applicable federal, state, or local laws.
OneWeb will be entitled to use any information and/or materials you submit through this Challenge, and any ideas, concepts, know-how or techniques contained in any such information and/or materials, for any purpose whatsoever, included but not limited to developing, manufacturing and marketing products using such information or materials without restriction and without compensating you in any way. You are responsible for the communications you submit through this Web site, including, without limitation, their truthfulness and accuracy.
Each entrant agrees to indemnify and hold harmless OneWeb and its respective affiliates, for any action brought by a person whose consent for the Proposal was required but was not obtained or for any 3rd party claims that any Proposal infringes the intellectual property rights of a 3rd party. Proposals, along with the entrant’s name, city, state, country or province of residence, may be posted on any Website owned and/or operated by OneWeb, any other website or other online point of presence on any platform. OneWeb’s decision to publish any Proposal or any portion of a Proposal does not mean that the selected Proposal has been successful as a winning Proposal in the Challenge.
Each Proposal must be in the English language and must be the original creation of the individual, business, sole proprietorship, non-profit entity, government entity, or educational entity entering the Challenge. Proposals that do not meet the requirements set forth in these rules may be disqualified in our sole discretion. More than one Proposal may be submitted by any entrant. Any Proposal submitted by an entrant must be substantially different than any other Proposal submitted by that entrant. Entrants are responsible for all costs associated with preparing and submitting their Proposals, including applications, and building and testing prototypes. All Proposals that violate any intellectual property, local, state, provincial or federal laws, violate any entrant’s employer’s policies, will be deemed ineligible. Proposals must be received no later than 11:59:59 P.M. (PT) on May 24,2021. Entrant’s proof of submission does not constitute proof of our receipt. OneWeb is not responsible for lost, misdirected, late, illegible, incomplete, inaccurate, delayed, garbled or unintelligible Proposals. Proposals will not be returned to the entrants. Successful submission and subsequent awards are subject to all applicable federal, state, or local laws.
Please note that your submissions (e.g. including any contract terms or disclaimers) do not have any legally binding effect on OneWeb.
